تمهيد
حيث أن البائع يمتلك مصنع لإنتاج …………………. و ذلك حسب المواصفات العالمية والمطابقة للمواصفات القياسية المصرية ويشار إليه فيما بعد (المنتج) وحيث أن المشترى يرغب فى شراء كميات من منتج البائع فقد صار الاتفاق على الأتي :

بموجب هذا يبيع البائع إلى المشترى القابل لذلك كميه مقدرها ...............طن من المنتج طبقا للمواصفات التالية :

ويحق للمشترى طلب زيادة كميه المنتج المذكورة هنا و بحد أقصى 10 % من اجمالى العقد.
السعر و شروط الدفع
2/1 تم الاتفاق على أن يكون سعر الطن من المنتج بالمواصفات المذكورة بالبند الأول.................../ طن فيصير الإجمالي ......X .......... = ........... جنيه مصري شامل ضريبة المبيعات
2/2 اتفق الطرفان على أن تكون طريق الدفع كالأتي:
100 % عند الاستلام أوü
50 % مقدم حال التوقيع على العقد و 50% عند الاستلامü
3/2 يقوم المشترى بسداد القيمة المتفق عليها بإحدى الطرق التالية:
نقدا بخزينة الشركة .Ø
شيك مصرفي باسم شركه ……………….Ø
إيداع نقدي أو تحويل مصرفي لحساب رقم …………. .Ø
التسليم
1/3 ميعاد التسليم : ........... الموافق ..... /6/2010 من الساعة 8 صباحا و حتى 3.30 مساءا عدا الجمعة و الأجازات و العطلات الرسمية.
2/3 مكان التسليم: أرض مصنع البائع الكائن………………………...
الـــــــنقل
1/4 يقوم المشترى بتدبير وسيلة النقل التي سوف يتم نقل المنتج عليها بمعرفته أو من يفوضه فى ذلك من مكان التسليم بمقر مصنع البائع المذكور بالبند 2/3 .
2/4 يتحمل المشترى كافة الأخطار والنفقات المتعلقة بالمنتج فور استلامه ووضعه تحت تصرفه فى الوقت المنصوص عليه فى العقد .
القوه القاهرة
1/5 اتفق الطرفان على أنه في حالة القوة القاهرة (القضاء والقدر التي هي خارجة عن سيطرة الأطراف ، ويجعل معها من المستحيل أن يفي كل طرف بالتزاماته) ولا سيما الحرائق والفيضانات والكوارث الطبيعية الأخرى والإضرابات وغيرها من ظروف مماثلة سوف يتخلى كل طرف من الأطراف عن مسئولياته تجاه الطرف الأخر خلال الفترة التي ستظل فيها هذه الظروف سارية.
2/5 و ينبغي إذا استمرت تلك الظروف المذكورة أعلاه لأكثر من 30 يوم يكون لكل طرف الحق في رفض تنفيذ التزاماته المنصوص عليها في العقد الحالي.
وفي هذه الحالة لا يحق لأي من الطرفين طلب الحصول على تعويض من الطرف الأخر عن أي ضرر قد يحدث فى نهاية المطاف بشأن عدم أداء التزاماته بموجب هذا العقد على النحو من وجود قوة قاهرة .
فسخ العقد
يلتزم المشترى باستلام المنتج بمجرد وضعه تحت تصرفه فى المكان والزمان المنصوص عليهما فى العقد ، وأن يدفع ثمن المنتج المحدد فى البند 2/1 فإذا اخل المشترى بأي شرط من تلك الشروط يحق للبائع فسخ العقد فورا و دون الحاجة إلى إنذار أو اى إجراءات قضائية أخرى مع سقوط حق المشترى فى المطالبة بأي تعويض .
القانون واجب التطبيق
يحكم قانون جمهورية مصر العربية ( القانون المصري) هذا العقد . في حالة حدوث إي خلاف بين أطراف العقد من حيث شروط العقد أو أداء إي طرف من أطراف العقد
النص العربي
النص العربي لهذا العقد هو المرجع فى تفسيره و فى حاله وجود اى خلاف بين النصين العربي و الإنجليزي يكون النص العربي هو النافذ.

تتم جميع الإخطارات كتابة علي العناوين المذكورة أعلاه ويلتزم المشترى بان يخطر البائع كتابة بأي تغيير يطرأ علي عنوانه وإلا اعتبرت المكاتبات والإجراءات المتخذة في مواجهته صحيحة ونافذة قانونا .

SUPPLY AGREEMENT NO………/2011
This Contract is entered on Saturday June ,26th 2010 by and between:
………………………………… Commercial Registration No. 0000 with its located at ………………………………………… - 6th of October and represented in signing this contract by Mr. / …………………………………. as Chairman of the Board and hereinafter referred to as (SELLER)
-------------------Company, commercial Register No (-----------------), with its head office located at (----------------------------), herein represented by ------------------, in his capacity as the ------------ of the COMPANY. Hereinafter referred to as the (BUYER)
PREAMBLE
Where the SELLER has a factory for production of ………………………………………. according to the international standards and conformity with the Egyptian standards specifications and hereinafter referred to as the (PRODUCT). As the BUYER have a desires to purchase a quantities of the SELLER’S product, it is mutually agreed between the Parties hereto as follows;:
SCOPE OF CONTRACT
Under this agreement the SELLER will sells to the BUYER a quantity of............... /Tons of the PRODUCT in accordance with the following specifications:

The BUYER may request to increase the quantity of the product mentioned here, by a maximum of 10% of the total contract.
PRICE AND PAYMENT TERMS

2/2 Both parties agreed that the payment terms will be as the follows:
ü 100% upon receipt. OR
ü 50% in advance upon signing the contract and 50% upon receipt.
3/2 The BUYER should pay the agreed value in one of the following methods:
Cash in company’s treasury.Ø
Certified check in the name of ……...Ø
Cash deposit or Bank transfer to account No. ……………Ø
DELIVERY
1/3 Delivery date: ........... Approved ..... / 6 / 2010 from 8 am till 3.30 pm except Fridays and holidays and public holidays.

TRANSPORT
1/4 The BUYER is responsible for providing a mean of transport which will be transferred the PRODUCT and that will be by himself and under his responsibility or his authorized representative, from the place of delivery at the SELLER’S factory mentioned in item 2 / 3 hereinabove.
The BUYER is responsible for all risks and expenses related to the PRODUCT upon receipt it and placed under his control at the time stipulated in the contract.
FORCE MAJEURE
1/5 The both Parties agreed that in case of force majeure (act of God that is beyond Parties control and makes impossible the fulfillment of the Parties obligations) particularly fires, floods, other natural disaster, strikes and other similar circumstances the Parties shall be released from their responsibilities for period during which such circumstances will remain in force.
2/5 Should the above circumstances continue to be in force more than 30 days each Party shall have the right to reject further execution of the obligations under the present Contract. In such case neither of the Parties shall hasn’t the right to demand upon the other Party for compensation of any eventual damage concerning non performance of the obligations under the present Contract as a sequence of force majeure.
CANCELLATION OF THE CONTRACT
BUYER is committed to receives the PRODUCT once it has at its disposal at the place and time stipulated in the contract, and pay the price of the PRODUCT specified in item 2 / 1. If the BUYER inhibits of any of these conditions seller has the right to cancel the contract immediately, without any warning or any other judicial proceedings with the fall of the buyer's right to claim any compensation.
APPLICABLE LAW
This Contract shall be governed by the laws of the ARAB REPUBLIC OF EGYPT. In the event of any controversy between the PARTIES with respect to any of the terms and conditions or with respect to the performance of the PARTIES under the Contract
ARABIC TEXT
The Arabic text of this contract is the authority in its interpretation and in case of any disagreement between the Arabic and English texts is the Arabic text is in force.
ADDRESSES
All notices shall be in writing and sent to the addresses mentioned hereinabove. BUYER shall notify the SELLER of any change in its address, otherwise all correspondence and procedures taken towards BUYER shall be considered correct and legal.
